You do not need to run it as proxy, it is faster used as a router. If you set up dhcp server on Linux, only supporting the internal card (must be different subnet to external) The Windows machine can connect automatically. You need to set the default gateway or router address in dhcp to point to the Linux box. Also it is advisable to set the dns servers from dhcp. If you connect through a network switch you use standard LAN cables, to connect direct pc to pc you need a cross-over cable.
Reply:Your best bet is a proxy server to forward your requests to the internet and forward the responses back to your windows machine.

Squid is a good proxy server that works well on linux (www.squid-cache.org) but there are others out there which might suit just as well.
